在执业过程中,田律师逐步开发并形成了独具特色的“涉外房地产/外商投资房地产”法律服务,为境外个人或机构投资者投资境内物业(居住或商业物业)提供全方位的法律服务,包括但不限于,谈判、尽职调查、交易结构设计、法律意见、房地产融资、合同起草、修改、过户交易、物业管理等。
(1) 参与Morgan Stanley 收购南京某国际广场项目的尽职调查,交易结构设计、交易文件起草和审查及相关咨询工作;
(2) 参与Warburg Pincus收购成都某商业地产项目的尽职调查和咨询工作;
(3) 参与GCREF ACQUISITIONS收购沈阳某地标商业项目的尽职调查和咨询工作;
(4) 代表屈臣氏中国公司高管在上海购买价值千万元的别墅,提供全程购买法律服务;
(5) 负责为某房地产集团出具在境内设立投资性公司以解决其为境内房地产项目融资困难的问题之法律意见书。
(6) 负责完成瑞士某IT公司就其上海子公司的境外重组项目,包括交易文件起草、项目报批、公司文件修改、工商登记等 ;
(7) 在劳动纠纷中代表瑞士、美国等外国人士谈判、仲裁或提起诉讼。
Mr. Tian graduated from the renowned law school, East China University of Political Science and Law in Shanghai, and before joining Zhong Yin Law Firm, he served as senior translator at Clifford Chance LLP and as an attorney-at-law at Zhonglun Law Firm for years. His legal services cover FDI, M&A, real estate businesses (investment, sale, purchase, leasing and property management of both residential and commercial properties), corporate governance of FIEs etc. and other general legal businesses such as tort, marriages.
During his practice, Mr. Tian has come to develop his characteristic legal service in “foreign invested real estate” sector, helping foreign individual, institutional investors in purchasing or acquiring residential or commercial properties. His services in that regard include locating target property, negotiation on client’s behalf, due diligence report, financing, deal structure advice, effecting title transfer, drafting and reviewing legal documents.
The following deal illustrates Mr. Tian’s track records in his legal services:
(1) Participating in providing advisory legal services for Morgan Stanley in acquiring an international plaza in Nanjing;
(2) Participating in providing due diligence legal services for Warburg Pincus in acquiring a commercial property in Chengdu;
(3) Participating in providing advisory legal services for GCREF ACQUISITIONS in acquiring a landmark property in Shenyang;
(4) Providing full-course services for a high-ranking officer of Watsons China in purchasing a high-end villa in Shanghai;
(5) Providing legal opinions to an international real estate group with respect to the legal feasibility of establishing a holding company in China with a view to expanding financing power for its real estate business in mainland China;
(6) Representing Swiss, American individuals working in China in their disputes with their employers.
Currently, Mr. Tian is serving as legal counsels to several clients such as Shanghai Renjun Real Estate Brokerage Firm, Shanghai Diyuan Real Estate Co., Ltd and Shanghai ITEST Communication Co., Ltd.
